Scope and Nature of ServicesWe provide specialized virtual administrative and operational support services, including scheduling, patient coordination, intake handling, and non-clinical triage support for healthcare and professional organizations. All services are strictly administrative in nature and are delivered by trained personnel operating under defined protocols.Under no circumstances do we provide medical advice, psychiatric consultation, diagnosis, treatment, or clinical decision-making. Any triage or escalation performed by our personnel is purely procedural and intended to route communication appropriately as per client-defined workflows, and must not be interpreted as a clinical assessment.2. Independent Contractor RelationshipWe operate solely as an independent contractor. All personnel assigned to client accounts are employees or contractors of our organization and remain under our supervision, management, and compliance framework.Nothing in this agreement shall be construed as creating an employer-employee relationship, partnership, or joint venture between the client and our personnel. Clients bear no responsibility for employment-related obligations such as compensation, insurance, benefits, or legal compliance relating to our staff.3. Service Continuity and Operational ReliabilityWe maintain internal systems to ensure business continuity and uninterrupted service delivery, including backup personnel, cross-training, and redundancy planning. In the event of personnel unavailability due to illness, leave, or technical issues, a qualified replacement will assume responsibilities with minimal disruption to client operations.While we strive for uninterrupted service, temporary disruptions due to external technical failures, force majeure events, or third-party system outages may occur, and we shall not be held liable for such events beyond reasonable control.4. Strict Limitation of LiabilityOur services are strictly limited to administrative support. We expressly disclaim any liability arising from clinical decisions, patient management, treatment outcomes, or medical negligence.The client retains full and exclusive responsibility for all clinical care, including diagnosis, treatment planning, medication management, and emergency intervention. By engaging our services, the client agrees to indemnify and hold us harmless against any claims, damages, or liabilities arising from patient care or clinical outcomes.5. Non-Solicitation and Workforce ProtectionTo protect the significant investment made in recruiting, training, and securing our personnel, clients agree not to directly or indirectly solicit, hire, or engage our staff outside the scope of the service agreement during the term of engagement and for a reasonable period thereafter.Any transition of personnel to direct employment may be subject to a mutually agreed placement or buyout fee. This clause is essential to maintain service quality and operational sustainability.6. Fees, Billing, and TerminationServices are typically provided on a monthly retainer basis, as defined in individual agreements or proposals. Invoices are generated periodically and are payable within agreed timelines.Either party may terminate the engagement by providing prior written notice (generally 30 days unless otherwise specified). Upon termination, all ongoing service obligations will cease in an orderly manner, and outstanding dues must be settled promptly.7. Healthcare Data & ConfidentialityMindAdminPartners provides administrative support services only and does not offer medical advice or clinical care.We handle patient interactions with a strong focus on confidentiality and sensitivity, especially in mental health settings. Our role is limited to functions such as appointment coordination, communication, and follow-ups.We operate as a data processor on behalf of partner clinics, which remain the data controllers. Patient information is accessed strictly on a need-to-know basis and only for operational purposes.As part of our service delivery, authorized team members based in India may securely access clinic systems. We do not independently use, share, or repurpose patient data.We do not independently store or retain patient medical records outside the systems provided by the client clinic.All personnel are bound by confidentiality obligations and trained to handle patient communication with professionalism and discretion.8. Use of Client Name and BrandingWe may reference client names, logos, and publicly available branding materials for the limited purpose of showcasing our portfolio, experience, or case studies. This usage will not include any confidential, operational, or sensitive information.Clients retain full ownership of their intellectual property and may revoke such permissions at any time through written notice.9. Governing Law and JurisdictionThese Terms shall be governed by and interpreted in accordance with applicable laws as mutually agreed in formal contracts with clients. In the absence of such specification, general principles of commercial law shall apply.PRIVACY POLICYWe are committed to maintaining the highest standards of data protection, confidentiality, and information security, particularly when handling sensitive healthcare-related data.1. Role as Data ProcessorWe act strictly as a data processor, meaning we handle data solely on behalf of and under the instructions of our clients. Ownership and control of all data remain with the client at all times.We do not use, analyze, or repurpose client data for any independent business activity.2. Data Security and InfrastructureWe implement robust technical and organizational safeguards to protect data against unauthorized access, disclosure, or misuse. These measures include secure system access protocols, encrypted communication channels, and controlled environments for service delivery.All work is conducted using managed systems and secure access pathways designed to align with industry best practices for data protection.3. Controlled Access and Device SecurityAccess to client systems is strictly limited to authorized personnel and is governed by role-based permissions. Personnel are granted only the minimum level of access necessary to perform their assigned administrative tasks.All operations are conducted on company-controlled devices with enforced security policies, which may include restrictions on local storage, external device usage, screenshots, and unauthorized browsing.4. All interactions with client data occur within secure systems designated or approved by the client.5. Confidentiality and Non-DisclosureAll client information, including operational processes, patient interactions, and business data, is treated as strictly confidential.
